Terms of Service

1. Acceptance of Terms

By accessing or using the SHARE.IT global website (shareitglobal.co), including our AI chatbot concierge, lead forms, and newsletter subscription features (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you") and 쉐어잇 주식회사 (SHARE.IT Inc.) ("SHARE.IT," "we," "us").

2. Description of Service

SHARE.IT operates Korea’s largest venue and OOH (Out-of-Home) platform for global brands, connecting international companies with Korean venues for:

• Pop-up store and flagship retail spaces
• Event and conference venues
• OOH advertising placements (digital billboards, transit ads, ambient media)
• Exhibition and showroom spaces
• Filming and content production locations

The global website serves as an informational and lead-generation platform. It provides venue information, AI-assisted concierge services, and a means to connect with our curation team. Venue bookings and transactions are handled through direct engagement with our sales team, not through this website.

3. User Obligations

When using the Service, you agree to:

• Provide accurate and truthful information when submitting inquiries, lead forms, or chatbot conversations.
• Use the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
• Not attempt to interfere with, disrupt, or compromise the integrity or security of the Service.
• Not use automated tools (bots, scrapers, crawlers) to access or extract data from the Service beyond what is permitted by our robots.txt file.
• Not submit false, misleading, or fraudulent inquiries or personal information.

4. Lead Form and Inquiries

When you submit a lead form or inquiry through the Service, you understand and agree that:

• The information you provide will be used by SHARE.IT to curate venue and advertising options tailored to your needs.
• Our team may contact you via the email address or WhatsApp number you provide to discuss your inquiry.
• Submission of a lead form does not constitute a booking, reservation, or binding agreement for any venue or advertising placement.
• Your personal data will be processed in accordance with our Privacy Policy.

5. AI Chatbot Concierge

The Service includes an AI-powered chatbot concierge ("Jina") designed to assist visitors with venue information and inquiries. By using the chatbot, you acknowledge that:

• Jina is an AI assistant, not a human agent. It uses large language model technology and may not always provide perfectly accurate information.
• Information provided by Jina is for reference purposes only and does not constitute an offer, quote, or binding commitment.
• Venue availability, pricing, and specific terms are subject to confirmation by our human curation team.
• Conversations with Jina are recorded and stored for a period of up to 1 year for service improvement purposes, as described in our Privacy Policy.
• Your conversations are not used to train AI models.

6. Intellectual Property

All content on the Service, including but not limited to text, graphics, logos, images, data compilations, software, the SHARE.IT brand identity, and design elements, is the property of SHARE.IT Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws of the Republic of Korea and international treaties.

You may not:

• Reproduce, modify, distribute, or publicly display any content from the Service without prior written permission.
• Use the SHARE.IT name, logo, or branding in any way that suggests endorsement, affiliation, or sponsorship without authorization.
• Remove or alter any copyright, trademark, or proprietary notices from the Service content.

Venue images, descriptions, and data displayed on the Service may be provided by venue partners and remain the intellectual property of their respective owners.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. SHARE.IT makes no warranties, express or implied, regarding:

• The accuracy, completeness, or timeliness of venue information, pricing, or availability displayed on the Service.
• The uninterrupted or error-free operation of the Service, including the AI chatbot.
• The suitability of any venue or advertising placement for your specific needs.

Venue availability and pricing are subject to change without notice. All venue-related commitments require separate confirmation and agreement with SHARE.IT and/or the venue partner.

8. Limitation of Liability

To the fullest extent permitted by applicable law, SHARE.IT, its directors, employees, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Any loss of data, revenue, profits, or business opportunities resulting from your reliance on information provided through the Service.
• Any damages arising from the unavailability or malfunction of the Service, including the AI chatbot.
• Any actions or omissions of venue partners or other third parties.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

10. Data Subject Rights API

We provide a self-service API endpoint at /api/privacy for exercising your data subject rights. When using this API:

• Requests are rate-limited to 10 requests per hour per IP address.
• You may only request access to or deletion of data associated with your own email address.
• Attempting to access another person’s data or abuse the API may result in IP blocking.

11. Modifications to Terms

SHARE.IT reserves the right to modify these Terms at any time. Changes become effective upon posting the revised Terms on the Service with an updated "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court (서울중앙지방법원), Republic of Korea.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
